These Terms of Use govern your access to and use of Vitral and its related services. Vitral is a modular AI workspace platform built from scratch for flexible, composable work with language models and AI-assisted tools. It brings together conversations, documents, files, generated artifacts, live samples, and integrated tools in a persistent multi-panel environment, so AI is used as part of an ongoing working system rather than as an isolated chatbot (collectively, the “Services”).
1. Acceptance of Terms
By accessing or using Vitral, you agree to be bound by these Terms of Use and our Privacy Policy, which are the most critical documents governing your use of the platform. These, along with all other relevant policies, are available for your review in our Policy Hub. If you do not agree to these terms, please do not use the platform.
2. Modifications to Terms
We may revise these Terms of Use at any time. We will notify you of significant changes by posting the updated terms on our website. Your continued use of the platform after any changes constitutes your acceptance of the new terms.
3. Who We Are
We are Vitral AI, Inc., a technology company incorporated in Delaware. We build and operate Vitral, a workspace system designed for AI-native work across conversations, documents, files, generated artifacts, live samples, and integrated tools. 4. Registration and Access
Age Restrictions
- Minimum Age Requirement:
- You must be at least 13 years old to use our Services.
- If the minimum age to consent to digital services in your country is higher than 13, you must meet that age requirement.
- Parental Consent:
- If you are between 13 and the age of majority in your country, you must have permission from a parent or legal guardian to use our Services.

- We reserve the right to request proof of age and/or parental consent at any time.
- If we discover that a user does not meet the age requirements, we may terminate their account.
- Responsibility:
- By using our Services, you confirm that you meet these age requirements.

Registration

5. Using Our Services
What You Can Do
Subject to your compliance with these Terms, you may access and use our Services. In using our Services, you must comply with all applicable laws as well as our Sharing and Publication Policy, Privacy Policy, and any other guidelines, or policies we make available to you.
What You Cannot Do
You may not use our Services for any illegal, harmful, or abusive activity. For example, you may not:
- Use our Services in a way that infringes, misappropriates or violates anyone’s rights.
- Modify, copy, lease, sell or distribute any of our Services.
- Attempt to or assist anyone to reverse engineer, decompile or discover the source code or underlying components of our Services, including our models, algorithms, or systems (except to the extent this restriction is prohibited by applicable law).
- Automatically or programmatically extract data or Output.
- Represent that Output was human-generated when it was not.
- Interfere with or disrupt our Services, including circumvent any rate limits or restrictions or bypass any protective measures or safety mitigations we put on our Services.
Software
Our Services may include or interoperate with software, models, APIs, and other technologies provided by Vitral or by third parties. Some parts of the Services may update automatically, and some integrations may rely on third-party or open-source software governed by separate licenses, terms, or privacy policies. You are responsible for reviewing any third-party terms or policies that apply to the services or integrations you choose to use through Vitral.
Corporate Domains
If you create an account using an email address owned by an organization (for example, your employer), that account may be added to the organization's business account with us, in which case we will provide notice to you so that you can help facilitate the transfer of your account. Once your account is transferred, the organization’s administrator will be able to control your account, including being able to access Content and restrict or remove your access to the account.
Third Party Services
Certain parts of the Services may incorporate or provide access to third-party software, products, model providers, or services (collectively, “Third Party Services”). Outputs generated through or influenced by those services may also reflect the behavior, limitations, and policies of those third parties (“Third Party Output”).
Vitral may make multiple model providers and related integrations available through a single workspace experience, including through VIL as the platform’s primary intelligence layer and through direct access to other available catalog models. Third Party Services and Third Party Output remain subject to their own applicable terms, policies, and privacy practices. We do not control and are not responsible for the content, availability, or practices of Third Party Services.
Feedback
We value your feedback and would be grateful for the opportunity to use it to improve our services. By providing feedback, you grant us permission to use it without restriction or compensation. We appreciate your understanding and collaboration in this regard.
6. Content
Your Content
You may provide input to the Services (“Input”), and receive output from the Services based on the Input (“Output”). Input and Output are collectively “Content.” You are responsible for Content, including ensuring that it does not violate any applicable law or these Terms. You represent and warrant that you have all rights, licenses, and permissions needed to provide Input to our Services.
Ownership of Content
As between you and Vitral AI and to the extent permitted by applicable law, you (a) retain your ownership rights in Input and (b) own the Output. We hereby assign to you all our right, title, and interest, if any, in and to Output.
Similarity of Content
Due to the nature of our Services and artificial intelligence generally, output may not be unique and other users may receive similar output from our Services. Our assignment above does not extend to other users’ output or any Third Party Output.
Our Use of Content
We may use Content to provide, operate, secure, maintain, and improve the Services; to route requests across the platform’s tools, prompts, and model harnesses; to comply with applicable law; and to enforce our terms and policies.
Use of Content Data for Training
Vitral does not develop foundational AI models and does not use customer content to train its own intelligence layer or any third-party foundational models.
Vitral improves the Services through orchestration, prompting, tool routing, runtime model harnesses, and related platform systems. In order to provide the Services, user content may be processed by Vitral and, where applicable, by third-party model providers or infrastructure providers involved in fulfilling a user request.
When third-party model providers are used through the platform, those providers remain subject to their own applicable terms and privacy policies. We encourage you to review the provider policies linked through our legal and Company sections:

Vitral is not responsible for the data handling practices of these providers. If you have any concerns regarding data usage, please consult the policies above or contact the respective provider directly.
Accuracy
Artificial intelligence and machine learning are rapidly evolving fields of study. We are constantly working to improve our Services to make them more accurate, reliable, safe, and beneficial. Given the probabilistic nature of machine learning, use of our Services may, in some situations, result in Output that does not accurately reflect real people, places, or facts.
When you use our Services you understand and agree:
- Output may not always be accurate. You should not rely on Output from our Services as a sole source of truth or factual information, or as a substitute for professional advice.
- You must evaluate Output for accuracy and appropriateness for your use case, including using human review as appropriate, before using or sharing Output from the Services.
- You must not use any Output relating to a person for any purpose that could have a legal or material impact on that person, such as making credit, educational, employment, housing, insurance, legal, medical, or other important decisions about them.
- Our Services may provide incomplete, incorrect, or offensive Output that does not represent Vitral’s views. If Output references any third party products or services, it doesn’t mean the third party endorses or is affiliated with Vitral.
7. Our IP Rights
We and our affiliates own all rights, title, and interest in and to the Services. You may only use our name and logo in accordance with our Brand Guidelines.
8. Billing, Subscriptions, and Account Balance
1. Billing Model Overview
Vitral offers subscription plans centered on VIL, the platform’s primary intelligence layer. Each subscription includes a monthly VIL usage ceiling that may be used across available VIL modes. Subscription plans may also include an amount added to the user’s prepaid account balance, and that balance can accumulate over time. Current subscription details, included usage, prepaid balance amounts, and available model pricing are described in Vitral’s pricing surfaces.
2. Subscription Access
Subscription plans provide recurring monthly access to a defined amount of VIL usage, together with any additional benefits presented in the applicable pricing or account surfaces. The current plan terms shown at the time of purchase, renewal, or upgrade will govern.
3. Prepaid Balance
Users may add prepaid balance to their account where such functionality is offered. Prepaid balance is used for direct access to the available model catalog outside the included VIL subscription usage, and subscription plans may also contribute recurring amounts to that prepaid balance. Current available models and their token pricing are described in Vitral’s pricing surfaces.
4. Model Usage and Charges
Token-based usage on Vitral primarily arises when users interact with VIL or other available models through the platform’s chat and related model interaction surfaces. Direct use of catalog models is billed against the user’s available prepaid balance. Vitral may also use model calls internally to support platform functionality, but user-facing model usage and pricing are governed by the applicable pricing and account surfaces.
5. Usage Visibility
Vitral provides account-level visibility into token consumption, subscription usage, spending, and remaining prepaid balance through account and profile surfaces made available in the platform.
6. Pricing Changes
We may change subscription pricing, included usage ceilings, prepaid balance amounts, available models, or token pricing at any time, subject to applicable law. The current pricing information presented by Vitral at the time of purchase or use will govern prospectively unless otherwise stated.
7. Promotions and Trial Benefits
Vitral may offer promotions, discounts, trial benefits, prepaid balance, or similar incentives from time to time. Unless otherwise stated in the specific offer terms, such promotions are limited, non-transferable, may be modified or discontinued at any time, and may expire.
9. Termination and Suspension
Termination
You are free to stop using our Services at any time. We reserve the right to suspend or terminate your access to our Services or delete your account if we determine:
- You breached these Terms or our Usage Policies.
- We must do so to comply with the law.
- Your use of our Services could cause risk or harm to Vitral AI, our users, or anyone else.
We also may terminate your account if it has been inactive for over a year and you do not have a paid account. If we do, we will provide you with advance notice.
Appeals
If you believe your account has been suspended or terminated in error, you may file an appeal by using our contact form available on the Support Section of our website. Please provide all relevant details, and our Support team will review your case and respond accordingly.
Discontinuation of Services
We may decide to discontinue our Services, but if we do, we will give you advance notice and a refund for any prepaid, unused Services.
Arbitration and Dispute Resolution
- Agreement to Arbitrate: By using our AI-based platform, you agree that any disputes or claims arising from or related to the platform, including its services and terms, will be resolved through binding arbitration. This means that disputes will be settled outside of court by an impartial arbitrator, rather than by a judge or jury.
- Scope of Arbitration: This arbitration agreement applies to all types of disputes, including those related to data privacy, intellectual property, content ownership, and service performance.
- Process: If a dispute arises, you must first submit a written notice of the issue to the platform. Both parties will attempt to resolve the dispute amicably within 30 days of receiving the notice. If the dispute remains unresolved, it will proceed to arbitration in accordance with the rules of a recognized arbitration institution, such as the American Arbitration Association (AAA).
- Arbitration Location and Fees: The arbitration will take place in the state of Delaware, United States. Unless otherwise agreed by both parties or determined by the arbitrator, the arbitration fees will be shared equally between you and the platform. However, the arbitrator may allocate fees differently based on the circumstances of the dispute and in accordance with the applicable arbitration rules.
- Governing Law: The arbitration process, as well as any related proceedings, will be governed by the laws of the state of Delaware, except where preempted by applicable federal law.
- Exceptions to Arbitration: Both you and the platform retain the right to bring claims in small claims court or seek injunctive relief in court for matters relating to intellectual property or unauthorized use of the platform.
- Confidentiality: All aspects of the arbitration, including the proceedings, outcome, and any settlement discussions, will be kept confidential, except as required by law.
- Finality of Arbitration: The arbitrator's decision will be final and binding on both parties. Judgment on the arbitration award may be entered in any court with jurisdiction.
- Opt-Out Option: You have the right to opt out of this arbitration agreement within 30 days of first accepting these terms by notifying the platform in writing.
- Amendments: The platform reserves the right to modify this arbitration and dispute resolution policy, with any changes applying only to disputes arising after the modification date.
10. Disclaimer of Warranties
OUR SERVICES ARE PROVIDED “AS IS.” EXCEPT TO THE EXTENT PROHIBITED BY LAW, WE AND OUR AFFILIATES AND LICENSORS MAKE NO WARRANTIES (EXPRESS, IMPLIED, STATUTORY OR OTHERWISE) WITH RESPECT TO THE SERVICES, AND DISCLAIM ALL WARRANTIES INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SATISFACTORY QUALITY, NON-INFRINGEMENT, AND QUIET ENJOYMENT, AND ANY WARRANTIES ARISING OUT OF ANY COURSE OF DEALING OR TRADE USAGE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ACCURATE OR ERROR FREE, OR THAT ANY CONTENT WILL BE SECURE OR NOT LOST OR ALTERED.
